This Membership & Services Agreement (“Agreement”) is entered into by and between CitizensByDescent (“CD,” “we,” or “our”), a Delaware corporation, and you (“Member,” “you,” or “your”) as of the date of execution (“Effective Date”). Collectively, CD and the Member are the “Parties.”

1. SCOPE OF SERVICES
Overview
• CD provides advisory services for individuals and families pursuing Italian citizenship by descent. Our role is to provide expert guidance, personalized support, and final legal review. All final decisions rest exclusively with Italian authorities.
Core Services include:
• Kickoff Call + Personal Roadmap: A tailored consultation with your dedicated advisor.
• Tailored Client Portal: Secure access for progress tracking, file storage, and communication.
• Prefilled Document Order Forms: Streamlined templates to simplify your record requests.
• Dedicated Citizenship Advisor: 1:1 support throughout the process.
• Advisor-led Review: Comprehensive review of your completed file for compliance.
• Guidance on Submission: Final legal review and submission to the appropriate Italian authority.
Exclusions (Not Included):
• Document retrieval costs (e.g., government or third-party record fees)
• Authentication/apostille costs
• Translation costs
• Government application fee(s)
Limitations:
• Timelines depend on government or court schedules outside CD’s control.
• Services are delivered remotely unless otherwise agreed in writing.
2. SERVICE COMMENCEMENT
Services begin after the kickoff call and roadmap delivery has been completed. Services are considered substantially commenced when:
• Your personal roadmap has been provided, and
• You have been granted access to your tailored client portal.
3. MEMBER RESPONSIBILITIES
• Provide accurate and complete information.
• Retrieve and supply all required documents in accordance with CD’s guidance.
• Cooperate with the advisor's instructions and submission procedures.
•Acknowledge that CD’s services are limited to advisory and review.
4. FEES AND EXPENSES
• Professional Fee (“PF”): Covers access to services listed above. Non-refundable.
• Excluded Costs: Member is responsible for all excluded costs listed in Section 1.
• Customized Quote (“CQ”): Sets out PF and payment schedule.
5. REFUND POLICY
• All Professional Fees (“PF”) are non-refundable.
• No refunds will be provided under any circumstances, including but not limited to withdrawal by the Member, ineligibility, incomplete documentation, government delays, or denial of application.
• Member acknowledges and accepts this as a condition of participation in this advisory package.
6. CONFIDENTIALITY & DATA PROTECTION
• CD will keep all Member information confidential and use it solely for the services provided.
• CD complies with applicable data protection laws (including GDPR/CCPA).
• Member documents will be stored securely and may be returned or deleted upon request.
7. TERMINATION
• Member may terminate with 30 days’ written notice. CD retains all fees/expenses paid to date, subject to MBG.
• CD may suspend or terminate for non-payment, fraud, or breach of obligations.
8. CASE CONTINUITY & BANKRUPTCY
If CD ceases operations or cannot complete services, we will use reasonable efforts to:
• Transfer active client files to a qualified successor firm at no additional cost, or
• Provide Member with complete copies of all work products to facilitate continuation elsewhere.
CD will provide no less than 60 days’ written notice of business closure or bankruptcy, unless legally prohibited.
9. FORCE MAJEURE
CD is not liable for delays or failure caused by events beyond its reasonable control, including but not limited to government/court delays, policy changes, strikes, pandemics, natural disasters, cyberattacks, or other force majeure events.
10. DISPUTE RESOLUTION
• Initial Resolution: The member must first notify CD in writing and allow 30 days for a response.
• Arbitration: Any unresolved dispute will be settled by a single arbitrator under the International Centre for Dispute Resolution (ICDR), seated in Delaware, USA. The award is final and enforceable.
• No Class Actions: Member agrees to bring claims only in an individual capacity.
11. DISCLAIMERS & LIMITATION OF LIABILITY
• CD does not guarantee outcomes. Final decisions rest solely with Italian authorities.
• Neither party is liable for indirect, special, or consequential damages.
• CD’s liability is capped at the total fees paid under this Agreement.
12. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, USA.
13. ENTIRE AGREEMENT & UPDATES
This Agreement constitutes the entire understanding between the Parties. CD may update terms for operational or legal reasons; continued use of services constitutes acceptance of updated terms.
By executing this Agreement, you acknowledge that you have read, understood, and agreed to these terms.
